PRIVACY POLICY

This Privacy Policy explains how Baden Sports, Inc., a Washington corporation ("Baden," "we," "us" or "our"), collects, uses and discloses personal information through axebat.com (the "Site"), and the choices and rights you have. Axe Bat and Axe are brands of Baden Sports, Inc.

This policy also serves as our California Notice at Collection. Your use of the Site is also governed by our Terms of Service.

1. Information We Collect

Information you provide to us.

- Contact and account information: name, email address, phone number, mailing, billing and shipping addresses, and account login credentials.
- Order information: products purchased, order history, and communications about your orders. Payment card information is collected and processed by our payment processors; we do not store full card numbers.
- Communications and support: messages, emails, calls and other information you send us, including chat conversations through the Site's chat tools.
- Reviews and content: reviews, photos and other content you submit.
- Marketing preferences: your email and text message subscription choices.
- Custom order information: names, numbers, logos, artwork and other personalization you provide for custom products.

Information collected automatically. When you visit the Site, we and our service providers collect:

- device and browser information, such as IP address, device type, operating system, browser type and language;
- approximate location derived from your IP address;
- usage information, such as pages viewed, links clicked, products viewed, items added to cart, referring website, and dates and times of visits;
- if you accept analytics cookies, information about how you interact with pages (for example, scrolling, clicks and mouse movements), which some analytics tools use to recreate sessions so we can improve the Site.

We collect this information using cookies, pixels, tags, scripts and similar technologies. See Section 4 for how to control them.

Information from other sources. We receive information from payment processors, shipping carriers, Dealers and sales representatives, and, if you choose to interact with us on social media, from those platforms.

2. How We Use Information

- to process, fulfill, ship and support orders, including custom orders, returns and warranty claims;
- to create and manage accounts;
- to communicate with you about orders, accounts and customer service requests;
- to send marketing emails and text messages if you have opted in, and to show you advertising if you have accepted marketing cookies;
- to operate, secure, analyze and improve the Site, our products and our services;
- to detect, prevent and respond to fraud, security incidents and violations of our Terms;
- to comply with legal obligations and enforce our rights.

We do not use personal information to make decisions that produce legal or similarly significant effects about you through automated processing.

3. How We Disclose Information

We disclose personal information to the following categories of recipients:

- Service providers that perform services for us under contracts limiting their use of the information, including ecommerce platform hosting, payment processing, order fulfillment and shipping, email and text messaging, customer support and chat, reviews, analytics, fraud prevention and IT services.
- Advertising and marketing partners, but only if you accept marketing cookies. These partners may use information collected through cookies and pixels on the Site to show you advertising on other websites and to measure ad performance. Under some state laws, this may be considered a "sale" or "sharing" of personal information or "targeted advertising."
- Professional advisors, such as lawyers, accountants and insurers.
- Legal and safety: government authorities, courts or others when required by law, or to protect our rights, customers or others.
- Business transfers: in connection with a merger, acquisition, financing, sale of assets or similar transaction, personal information may be transferred to the acquiring or successor entity.
- With your consent or at your direction.

We do not sell personal information for money.

4. Cookies, Tracking Technologies and Your Choices

We use these categories of cookies and similar technologies:

- Strictly necessary: required to run the Site, such as keeping items in your cart, checkout, security, remembering your privacy choices, and using your approximate location (from your IP address) to send visitors from Canada to our Canadian site, axebat.ca. These are always on.
- Preferences: remember settings such as language.
- Analytics: help us understand how visitors use the Site, including session-analytics tools that record interactions on our pages.
- Marketing: used by us and our advertising partners to measure campaigns and show you relevant ads on other sites.

Your consent choices. When you first visit the Site, a banner lets you accept or decline non-essential cookies. Analytics, preference and marketing technologies are used only if you accept them. Strictly necessary technologies, including the country redirect, run regardless of your choice. If you decline, we do not load them. You can change your choice at any time using the "Your Privacy Choices" link in the Site footer. You can also block or delete cookies through your browser settings, although some Site features may not work properly.

Global Privacy Control. If your browser sends a Global Privacy Control (GPC) signal, we treat it as a request to opt out of the sale and sharing of your personal information and targeted advertising for that browser. Browser "Do Not Track" signals are not uniformly defined; other than honoring GPC, we do not respond to them.

Chat. If you use a chat feature on the Site, the conversation is recorded and processed by our chat service provider so we can respond to you and keep a record of the conversation. Do not share sensitive information through chat.

5. Email and Text Messages

You can unsubscribe from marketing emails using the link in any marketing email. If you sign up for text messages, you can opt out at any time by replying STOP. We will still send transactional messages about your orders and account. Text message consent is not a condition of purchase, and we do not share mobile numbers or text-messaging consent with third parties for their own marketing.

6. Data Retention

We keep personal information for as long as needed for the purposes described in this policy. That includes the life of your account, the period needed to fulfill orders and handle returns and warranty claims, and as long as required for tax, accounting, legal and dispute-resolution purposes (generally up to seven years for order and financial records). Cookie and analytics data is generally kept for no more than 25 months. When information is no longer needed, we delete or de-identify it.

7. Security

We use reasonable administrative, technical and physical safeguards to protect personal information. No method of transmission or storage is completely secure, so we cannot guarantee absolute security.

8. Children and Teens

Many of our products are made for youth athletes, and some visitors to the Site are under 18. The Site is a general-audience site and is not directed to children under 13.

- Children under 13. We do not knowingly collect personal information online from children under 13 without verifiable parental consent. Accounts, purchases, and email or text sign-ups are intended for adults 18 and older; a parent or guardian should place orders, create accounts and sign up for messages on behalf of a younger athlete. If we learn we have collected personal information from a child under 13 without parental consent, we will delete it.
- Teens. We do not sell or share personal information, or use it for targeted advertising, when we know a consumer is under 16, unless we have the consent required by law (from a parent or guardian for children under 13, or from the teen for ages 13 to 15). [FOR COUNSEL: confirm whether to extend this to known users under 18 for states with stricter minor-data laws.]
- Athlete and ambassador programs, contests, reviews and photos. If a participant is under 18, a parent or guardian must submit or approve the application or content, and consent to any use of the minor's name, image or likeness. We do not publicly post a minor's contact information.
- Bat fitting and sizing tools. Information entered into these tools, such as a player's age, height, weight or level, is used only to show a product recommendation and is not stored.
- Parents' rights. A parent or guardian may ask to review, correct or delete their child's personal information, or ask us to stop collecting it, by emailing info@axebat.com with the subject line "Child Privacy Request."

9. Your Privacy Rights

Depending on where you live, including California and other states with consumer privacy laws, you may have the right to:

- Know and access the personal information we have collected about you, the categories of sources and recipients, and our purposes;
- Delete personal information we collected from you, subject to legal exceptions;
- Correct inaccurate personal information;
- Opt out of the sale or sharing of personal information and of targeted advertising;
- Data portability: receive a copy of your information in a portable format;
- Appeal a decision we make on your request;
- Non-discrimination: we will not discriminate against you for exercising your rights.

We do not use or disclose sensitive personal information for purposes that would trigger a right to limit its use under California law.

How to submit a request. Email info@axebat.com with the subject line "Privacy Request," or call 1-855-293-2287. To opt out of sale, sharing or targeted advertising, use the "Your Privacy Choices" link in the Site footer or enable Global Privacy Control in your browser.

We will verify your identity before responding to requests to know, delete or correct, generally by matching information you provide with information we have. You may use an authorized agent; we may require proof of the agent's authority and ask you to verify your identity directly. We will respond within the time required by law, generally 45 days.

Appeals. If we decline your request, you may appeal by replying to our decision or emailing info@axebat.com with the subject line "Privacy Appeal." If you are not satisfied with the result of your appeal, you may contact your state attorney general.

11. Visitors Outside the United States

The Site is operated in the United States and intended for U.S. customers. If you access it from elsewhere, your information will be processed in the United States, where privacy laws may differ from those in your country.

12. Changes to This Policy

We may update this policy from time to time. We will post the updated version on this page with a new "Last updated" date, and, where required by law, notify you of material changes.
